This page is a plain-language summary of how engagements work. It is not the binding contract and is not legal advice. Every engagement is governed by a separate written agreement signed by both parties, which controls in the event of any conflict with this summary.

Relationship

Jeff Luiz provides B2B sales closing services as an independent contractor, not as an employee of the client. Jeff Luiz acts as an authorized sales representative of the client only to the extent, and for the accounts and opportunities, defined in the signed agreement.

Scope

Jeff Luiz takes ownership of qualified sales opportunities the client provides — through discovery, presentation, follow-up, negotiation and close — and hands closed deals back to the client for fulfillment. The client remains responsible for generating leads, setting pricing, and delivering the product or service sold.

Confidentiality

Jeff Luiz will keep the client's leads, customer data, pricing, and business information confidential, and will sign a non-disclosure agreement on request.

Pilot & termination

Engagements typically begin with a defined pilot period. Either party may end the engagement under the notice terms in the signed agreement. Commission obligations for deals already closed and collected survive termination.
