Engagement Terms
Relationship
Jeff Luiz provides B2B sales closing services as an independent contractor, not as an employee of the client. Jeff Luiz acts as an authorized sales representative of the client only to the extent, and for the accounts and opportunities, defined in the signed agreement.
Scope
Jeff Luiz takes ownership of qualified sales opportunities the client provides — through discovery, presentation, follow-up, negotiation and close — and hands closed deals back to the client for fulfillment. The client remains responsible for generating leads, setting pricing, and delivering the product or service sold.
Compensation
- Performance-based: no salary and no monthly retainer unless expressly agreed in writing.
- Commission is earned on attributable, collected revenue closed by Jeff Luiz.
- The commission rate, what qualifies as a "closed" deal, and payment timing are defined in the signed agreement.
- Commission on revenue that is later refunded, cancelled, or not collected is subject to clawback as defined in the agreement.
Attribution, CRM & ownership
- Attribution rules (which deals count) are agreed in writing before work begins.
- The client provides CRM access so activity and outcomes are tracked and verifiable.
- The client owns and retains its customers, contracts, and customer relationships. Jeff Luiz does not acquire ownership of the client's accounts.
- Exclusivity or territory, if any, is defined in the agreement.
Confidentiality
Jeff Luiz will keep the client's leads, customer data, pricing, and business information confidential, and will sign a non-disclosure agreement on request.
Pilot & termination
Engagements typically begin with a defined pilot period. Either party may end the engagement under the notice terms in the signed agreement. Commission obligations for deals already closed and collected survive termination.
